Terms of service
Last updated: 23 October 2026
These terms apply when your organisation uses the hosted Structrl service. Structrl is a service for businesses and professionals, not for consumers.
Not in effect yet. Structrl Cloud, the hosted service, isn't available yet; this document applies from its launch. Downloading and running Structrl yourself is covered by the Structrl Software License.
1. Who we are
The service is provided by Structrl, Madeliefje 1, 7463 ED Rijssen, The Netherlands, registered with the Dutch Chamber of Commerce (KvK) under number67721540, VAT number NL002410763B69 ("Structrl", "we"). You can reach us at support@structrl.dev.
2. Definitions
- Customer ("you"): the business or organisation that creates an account or orders a plan, and the people it authorises to use the service ("Users").
- Service: the hosted Structrl platform at app.structrl.dev, its API, and the Structrl client apps (such as the desktop app) when connected to it.
- Customer Content: everything you or your agents put into or produce with the Service: code, specs, prompts, run evidence, documents and configuration.
- Model Provider: the AI model service you connect with your own API key, such as OpenRouter or a self-hosted model.
3. Scope and acceptance
These terms apply to every use of the Service and every order. By creating an account or ordering a plan you accept them on behalf of your organisation, and you confirm you are authorised to do so. Your own general terms and conditions do not apply, and are expressly rejected (art. 6:225 of the Dutch Civil Code). The Data processing agreement and the Privacy policy form part of these terms. Signed agreements (for example for Enterprise) take precedence where they differ.
The Service is intended for business use only. By using it you confirm that you are not acting as a consumer. Consumer rights such as the statutory right of withdrawal therefore do not apply.
4. Accounts
- Give accurate information and keep it up to date. Each User has a personal account; don't share log-in details.
- You are responsible for everything done under your organisation's accounts, and for the access you grant (repositories, integrations, keys).
- Tell us immediately at support@structrl.dev if you suspect unauthorised use.
5. The service and plans
We provide the Service as described on our website for the plan you choose (Free, Team or Enterprise). Limits per plan (runs, workspaces, projects, automations) are shown on the pricing page and in the app. We continuously improve the Service and may change, add or remove features. If we remove a feature that is essential to a paid plan, we will tell you at least 30 days in advance and you may cancel and receive a pro-rata refund of prepaid fees for the remaining period.
The Free plan and trials are provided as they are, may be changed or ended at any time, and have no availability commitment. Beta and "preview" features are marked as such and are excluded from any commitments.
6. AI agents and your responsibility for output
Structrl orchestrates AI agents that plan, write and test code. AI output can be wrong, incomplete, insecure or similar to existing code. Structrl gives you guardrails (harness checks, budgets, approval gates and an audit trail), but you decide what is merged, released and used. You are responsible for reviewing output before you rely on it, for the checks and approval rules you configure, and for complying with the licenses of code in your repositories.
7. Your model providers and integrations
You bring your own API keys for Model Providers and connect your own integrations (such as GitHub, GitLab, Azure DevOps, Jira or MCP servers). When a run executes, the Service sends the relevant Customer Content to the Model Providers and integrations you configured, on your instructions. Your use of those services is governed by your agreements with them, and you pay them directly. We store your keys encrypted and only use them to perform your runs.
8. Fees, invoicing and VAT
- Paid plans are billed in advance per seat, monthly or yearly, through our payment provider Stripe. Prices are shown in US dollars and exclude VAT.
- VAT is charged where required. Customers in the Netherlands pay Dutch VAT (21%). Business customers in another EU member state with a valid VAT number are invoiced without VAT under the reverse-charge mechanism. Please enter your VAT number at checkout.
- Subscriptions renew automatically for the same period unless cancelled before the renewal date. You can cancel at any time in Settings → Plan & billing; access continues until the end of the paid period.
- Except where these terms say otherwise, fees already paid are not refundable. Seats added during a period are charged pro rata.
- We may change prices with at least 30 days' notice before your next renewal. If you don't agree, you can cancel before the change takes effect.
- If payment fails, Stripe retries for a period. We may suspend paid features if invoices remain unpaid after a reminder.
9. Acceptable use
You will not, and will not let anyone else:
- use the Service to break the law, infringe others' rights, or create malware or other harmful code;
- attack, overload, probe or bypass the security or limits of the Service, or access other customers' data;
- use the Service to build a competing hosted service by copying its non-public parts, or resell it without our written permission;
- use the Service in ways that violate the terms of your Model Providers or integrations.
10. Intellectual property
Your content stays yours. You own Customer Content, including code produced by agents in your runs, to the extent the law allows. You grant us a limited licence to host, process and transmit it only as needed to provide, secure and support the Service for you.
We own the Service, the Structrl software and its brand. Running the Structrl software on your own infrastructure is governed by the Structrl Software License; these terms govern your use of the hosted Service. If you send us feedback or suggestions, we may use them freely.
11. Confidentiality
Each party keeps the other's non-public information confidential, uses it only for this agreement, and protects it with at least reasonable care. This doesn't apply to information that is public, already known, independently developed, or that must be disclosed by law.
12. Data protection and security
For personal data in Customer Content, we act as your processor under the Data processing agreement. For account, billing and website data we are the controller, as described in our Privacy policy. We protect the Service with appropriate technical and organisational measures, including encryption in transit, encrypted storage of secrets, access controls and a tamper-evident audit trail.
13. Availability and support
We aim for high availability but do not guarantee uninterrupted service, except where an Enterprise agreement includes a service level. We announce planned maintenance where reasonably possible. Support is provided by e-mail; Enterprise plans can include priority support.
14. Warranties
We provide the Service with reasonable care and skill. Beyond that, and to the extent permitted by law, the Service is provided "as is", without warranties of fitness for a particular purpose, and without warranty that AI output is correct.
15. Liability
- Our total liability under or in connection with these terms is limited to the fees you paid us in the 12 months before the event that caused the damage, and for the Free plan to EUR 100.
- We are not liable for indirect or consequential damage, including lost profits, lost revenue, lost savings, loss or corruption of data, or business interruption, nor for damage caused by AI output you chose to use, or by your Model Providers or integrations.
- These limits do not apply to damage caused by our intent or deliberate recklessness (opzet of bewuste roekeloosheid), or where the law does not allow them.
- A claim for damages must be reported to us in writing within 12 months after you became aware of the damage, otherwise the right to compensation lapses.
16. Indemnity
You indemnify us against third-party claims arising from Customer Content, from your use of the Service in breach of these terms or the law, or from your Model Providers and integrations.
17. Term, suspension and termination
- These terms apply for as long as you have an account. You can delete your workspaces and account at any time.
- We may suspend access immediately if your use threatens the security or stability of the Service, or seriously breaches these terms or the law.
- Either party may terminate if the other materially breaches these terms and doesn't fix it within 30 days of written notice.
- After your account or paid plan ends, you can export your data for 30 days. We then delete Customer Content, except where we must keep data by law (for example invoices for 7 years).
18. Changes to these terms
We may update these terms. For material changes we notify account owners by e-mail at least 30 days before they take effect. If you don't agree, you can cancel before that date; otherwise the new terms apply.
19. Governing law and disputes
These terms are governed by the laws of the Netherlands. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. Disputes are submitted exclusively to the competent court in the district of our registered office (Rechtbank Overijssel), unless mandatory law says otherwise. We'd like to hear from you first, so we can try to solve it together.
20. Miscellaneous
- If a provision is invalid, the rest stays in force and the invalid provision is replaced by a valid one that comes closest to its purpose.
- You may not transfer your rights under these terms without our consent. We may transfer them as part of a reorganisation or sale of the business.
- The English version of these terms is the binding version.
